Product License Agreement

1. License Grant

Upon purchasing a Product, PlatformClouds grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access, download, and use the Product solely in accordance with this Agreement.

Your purchase grants you a licence to use the Product only. It does not transfer ownership of the Product or any associated intellectual property rights. All rights not expressly granted under this Agreement are reserved by Alpha & Omega Limited.

2. Ownership & Intellectual Property

All Products are and shall remain the exclusive intellectual property of Alpha & Omega Limited.

This includes, without limitation, all engineering concepts, blueprint packages, CAD files (where included), technical drawings, schematics, documentation, illustrations, manuals, reports, graphics, design rights, copyrights, trade secrets, confidential information, trademarks, and all other intellectual property rights associated with the Products.

Except for the limited licence granted under this Agreement, no ownership, intellectual property rights, or other proprietary rights are transferred to you.

3. Permitted Use

Subject to this Agreement, you may use the Product for legitimate personal, educational, research, or professional engineering purposes.

• Review, study, analyse, evaluate, and reference the Product.
• Provide the Product to appropriately qualified engineers, architects, contractors, consultants, fabricators, manufacturers, or other professionals solely for the purpose of evaluating, validating, or implementing your project.
• Permit qualified professionals to modify, adapt, or develop the Product where necessary to satisfy engineering, manufacturing, safety, regulatory, or project-specific requirements.
• Use the Product as a conceptual engineering reference during the independent design, engineering, manufacture, construction, commissioning, or operation of a physical system, provided that all detailed engineering, verification, certification, testing, and regulatory compliance are independently undertaken by appropriately qualified professionals.

4. Use of Constructed Systems

This Agreement governs the use of the Product itself and does not govern ownership, operation, or use of any independently engineered or professionally constructed physical system developed using the Product as a conceptual engineering reference.

Subject to all applicable laws, regulations, engineering standards, certifications, and approvals, any physical system that has been independently designed, verified, constructed, commissioned, and placed into service by appropriately qualified professionals may be owned, operated, maintained, or used for personal, commercial, industrial, or research purposes.

The Product remains subject to this Agreement at all times, regardless of whether it has been used as the basis for further engineering development or implementation.

5. Prohibited Use

Except where expressly permitted by this Agreement or with the prior written consent of PlatformClouds, you must not:

• Sell, resell, redistribute, publish, sublicense, lease, rent, transfer, or otherwise provide any Product to any third party.
• Upload, store, or distribute any Product on public websites, cloud storage services, file-sharing platforms, peer-to-peer networks, repositories, or any publicly accessible system.
• Share, provide access to, or make the Product available to any unauthorized individual, business, or organisation.
• Copy, reproduce, duplicate, or distribute the Product except as expressly permitted under this Agreement.
• Create, market, sell, or distribute competing blueprint packages, engineering documentation, CAD files, or substantially similar products derived from the Product.
• Remove, alter, obscure, or tamper with any copyright notices, trademarks, proprietary markings, branding, licence information, or other ownership notices contained within the Product.
• Claim authorship, ownership, or original creation of any Product or any part of it.

6. Commercial Restrictions

This licence permits you to use the Product only as authorised by this Agreement. It does not grant you the right to sell, licence, redistribute, commercially exploit, or otherwise monetise the Product itself.

Unless expressly authorised in writing by PlatformClouds, you may not incorporate the Product into any commercial blueprint package, engineering documentation, software package, design library, training material, or other product intended for sale, licensing, or public distribution.

Any commercial licensing, OEM integration, large-scale manufacturing for resale, white-label distribution, or other commercial exploitation of the Product requires a separate written agreement with PlatformClouds.

7. Intellectual Property Restrictions

You may not register, file, apply for, or attempt to obtain any patent, design registration, copyright, trademark, or other intellectual property right that is based upon, incorporates, reproduces, or substantially derives from any Product supplied by PlatformClouds.

Nothing in this Agreement transfers or assigns any intellectual property rights from Alpha & Omega Limited to you. All original intellectual property rights remain exclusively owned by Alpha & Omega Limited.

8. Modifications

The Product may be modified, adapted, or developed further solely for the purpose of engineering evaluation, project implementation, regulatory compliance, manufacturing preparation, or other legitimate engineering activities.

Any such modifications should be undertaken by appropriately qualified professionals where professional engineering judgement is required. Modifications do not transfer ownership of the original Product or its underlying intellectual property.

Any modified version that contains, incorporates, or is substantially derived from the original Product remains subject to this Agreement and may not be sold, redistributed, sublicensed, or otherwise distributed except as expressly permitted by PlatformClouds.

9. Engineering & Safety Disclaimer

Unless expressly stated otherwise, all Products supplied by PlatformClouds are provided as conceptual engineering resources for research, education, engineering evaluation, feasibility studies, simulation, and further professional development. Products are not represented as certified engineering documents, construction drawings, manufacturing drawings, or regulatory-approved documentation.

Any physical system designed, manufactured, constructed, installed, commissioned, or operated using a Product must first undergo independent engineering review, analysis, validation, testing, verification, and approval by appropriately qualified professionals. All applicable laws, regulations, engineering standards, industry codes, certifications, and local authority requirements remain the sole responsibility of the customer and their appointed professionals.

PlatformClouds does not certify or warrant that any Product is suitable for construction, manufacture, installation, or operation without further engineering development and independent professional review.

You accept full responsibility for ensuring the safety, structural integrity, engineering suitability, regulatory approval, environmental compliance, and legal compliance of any project or physical system developed using the Product.

10. No Warranty

All Products are supplied on an "as is" and "as available" basis. To the extent permitted by applicable law, PlatformClouds makes no representation or warranty, express or implied, regarding the accuracy, completeness, performance, reliability, suitability, availability, merchantability, fitness for a particular purpose, or non-infringement of any Product.

PlatformClouds does not warrant that any Product is free from errors, omissions, inaccuracies, or design limitations, nor that it will satisfy the requirements of any particular project, engineering application, manufacturing process, regulatory authority, or commercial purpose.

Customers are solely responsible for determining the suitability of any Product for their intended use and for obtaining independent professional engineering advice where required.

11. Limitation of Liability

To the extent permitted by applicable law, PlatformClouds, Alpha & Omega Limited, together with their directors, officers, employees, contractors, representatives, and affiliates, shall not be responsible or liable for any loss, damage, injury, claim, expense, delay, interruption, or liability arising directly or indirectly from the purchase, download, access, use, modification, interpretation, implementation, manufacture, construction, installation, commissioning, operation, or inability to use any Product.

You acknowledge that all engineering, manufacturing, construction, installation, commissioning, and operational decisions are made independently of PlatformClouds and remain entirely under the control and responsibility of the customer and their appointed professionals.

12. Indemnification

You agree to accept responsibility for your use of the Product and agree to indemnify and hold harmless PlatformClouds and Alpha & Omega Limited from claims, liabilities, damages, losses, costs, or expenses arising from your use of the Product, your implementation of any engineering concept, or any independently designed, manufactured, constructed, installed, commissioned, or operated system based upon the Product, to the extent permitted by applicable law.

13. Termination

This licence remains in effect until terminated in accordance with this Agreement. If you breach any provision of this Agreement, your licence may terminate automatically without prior notice.

Upon termination, you must immediately cease all access to and use of the Product, permanently delete or destroy all copies of the Product in your possession or control, and discontinue any further distribution or use of the Product.

Termination of this licence does not affect any intellectual property rights, ownership rights, or other provisions of this Agreement that are intended to survive termination.

14. Refund Policy

Due to the digital nature of the Products, access is provided immediately upon purchase or download. Once access has been granted, all sales are generally considered final.

Nothing in this Agreement limits or excludes any rights or remedies that may be available to you under applicable consumer protection laws where those rights cannot legally be excluded.

15. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of New Zealand.

Any dispute arising out of or relating to this Agreement or the use of any Product shall be subject to the jurisdiction of the courts of New Zealand, unless otherwise required by applicable law.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

16. Definitions

For the purposes of this Agreement, the following definitions apply:

• "PlatformClouds" means the PlatformClouds business operated by Alpha & Omega Limited.
• "Company" means Alpha & Omega Limited.
• "Product" means any digital engineering design, blueprint package, CAD file, drawing, schematic, documentation, manual, report, illustration, software component, dataset, or other digital content supplied by PlatformClouds.
• "Customer" means the individual or organisation purchasing or using the Product.
• "Documentation" includes all manuals, engineering notes, drawings, specifications, reports, diagrams, reference material, and supporting files supplied with the Product.
• "Qualified Professional" means an appropriately trained, experienced, or licensed engineer, architect, consultant, contractor, fabricator, or other suitably qualified person engaged to review or implement a project.

17. Product Revisions & Updates

PlatformClouds may revise, update, improve, expand, or discontinue Products at any time without prior notice.

Unless expressly stated at the time of purchase, purchasing a Product does not automatically entitle you to future revisions, updates, new releases, additional documentation, or upgraded versions.

18. Third-Party References

Products may contain references to third-party manufacturers, engineering standards, commercial components, trademarks, software, or industry specifications solely for identification, compatibility, or illustrative engineering purposes.

All trademarks, brand names, and intellectual property belonging to third parties remain the property of their respective owners.

19. Export & Local Compliance

You are responsible for ensuring that your purchase, download, access, use, and any implementation of the Product complies with all applicable laws, regulations, import and export requirements, sanctions, engineering standards, and other legal obligations applicable in your jurisdiction.

20. Entire Agreement

This Agreement constitutes the entire agreement between PlatformClouds and the Customer regarding the use of the Product and supersedes any previous discussions, representations, or understandings relating to the Product.

24. Acceptance of Agreement

By purchasing, downloading, accessing, or using any Product supplied by PlatformClouds, you acknowledge that you have read and understood this Product License Agreement and agree to be bound by its terms and conditions.

If you do not agree to these terms, you must not purchase, download, access, copy, or use any Product supplied by PlatformClouds.

25. Privacy

PlatformClouds respects your privacy and is committed to protecting your personal information. Any personal information collected through the purchase, download, registration, or use of Products will be handled in accordance with our Privacy Policy and applicable privacy legislation.

By purchasing or using any Product, you acknowledge that your information may be processed for order fulfilment, customer support, account management, fraud prevention, and legal compliance.

26. Electronic Communications

By purchasing or using any Product, you consent to receive communications from PlatformClouds electronically, including by email, website notifications, invoices, receipts, licence information, and support communications.

Electronic communications shall satisfy any legal requirement that communications be provided in writing where permitted by applicable law.

27. Force Majeure

PlatformClouds shall not be responsible for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including natural disasters, war, terrorism, government action, pandemics, labour disputes, internet outages, power failures, cyber incidents, or failures of third-party service providers.

28. Assignment

You may not assign, transfer, sublicense, or otherwise transfer any rights granted under this Agreement without the prior written consent of PlatformClouds.

PlatformClouds may assign or transfer this Agreement in connection with a business sale, merger, restructuring, or transfer of assets.

29. Waiver

Failure by PlatformClouds to enforce any provision of this Agreement shall not be considered a waiver of that provision or of any other provision of this Agreement.

30. Interpretation

Headings are included for convenience only and do not affect the interpretation of this Agreement. Words in the singular include the plural and vice versa where the context permits.

31. Language

This Agreement is written in the English language. If this Agreement is translated into another language, the English version shall prevail to the extent permitted by applicable law.

32. Reservation of Rights

All rights not expressly granted to you under this Agreement are reserved by Alpha & Omega Limited. No implied licences or rights are granted.

PlatformClouds, all associated Product names, engineering documentation, illustrations, blueprint packages, CAD resources, manuals, and supporting documentation are protected by copyright and other applicable intellectual property laws.

34. Engineering Standards References

References within any Product to engineering standards, industry specifications, regulations, material grades, or technical codes are provided solely as engineering reference material unless expressly stated otherwise.

Such references should not be interpreted as certification, compliance, approval, or confirmation that any Product satisfies any particular engineering standard or regulatory requirement.

35. Product Authenticity

Genuine PlatformClouds Products are supplied only through PlatformClouds or authorised distribution channels.

PlatformClouds cannot verify or provide support for Products obtained from unauthorised sources.

36. Copyright Infringement

PlatformClouds respects intellectual property rights and expects others to do the same. If you believe that any Product has been copied, distributed, or used in a manner that infringes your rights or the rights of PlatformClouds, please contact us with sufficient information to investigate the matter.

37. Customer Support

PlatformClouds may provide customer support, documentation updates, and general assistance at its discretion. Nothing in this Agreement guarantees ongoing support, technical assistance, engineering advice, or future product development unless expressly stated at the time of purchase.

38. Survival

Any provisions of this Agreement that by their nature should continue after termination, including ownership, intellectual property, confidentiality, limitation of liability, indemnification, governing law, and dispute provisions, shall survive the termination or expiry of this Agreement.

39. Final Acknowledgement

By purchasing, downloading, accessing, or using any Product supplied by PlatformClouds, you acknowledge that you have read, understood, and agree to be bound by this Product License Agreement.

This Agreement applies to all Products supplied by PlatformClouds unless expressly stated otherwise and remains binding for the duration of your licence and any continued use of the Product.
